These Terms of Service ("Terms") constitute a legally binding agreement between AppBroda Tech-FZCO, a company registered in Dubai, United Arab Emirates, operating as UAGenius ("UAGenius," "we," "us," or "our") and you ("User," "you," or "your") governing your access to and use of the UAGenius platform available at console.uagenius.ai ("Service").
Where a separately executed Master Services Agreement ("MSA") exists between UAGenius and your Organization, the MSA shall control over these Terms in the event of any conflict.
The following terms are used throughout these Terms:
The Service is available to users who are at least 18 years of age, or the age of legal majority in their jurisdiction, whichever is greater. By registering, you represent and warrant that you have the legal authority to enter into these Terms on behalf of your Organization, and that your use of the Service is not prohibited by applicable law.
To use the Service, you must register an account by providing accurate, complete, and up-to-date information, including at minimum your full name, business email address, and Organization name. UAGenius may require additional information from time to time. If you register on behalf of a legal entity, you represent and warrant that you are duly authorized to bind that entity to these Terms.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must not share your password or account access with any other person. Each individual who accesses the Service must do so through their own account. Credential sharing is prohibited.
One or more Users may be designated as Admins. All Admins act on behalf of the Organization. The Organization is responsible for and liable for all activity conducted by its Admins and all users to whom access has been granted, regardless of which individual performed the action. Admins are responsible for provisioning and deprovisioning users, managing each user's access level, and determining which games each user can access.
You must notify UAGenius immediately at support@uagenius.ai of any unauthorized access or suspected security breach. UAGenius reserves the right to suspend any account suspected of compromise.
All activity conducted under your account is your responsibility regardless of who performed it.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not upload, submit, or process User Content you do not have the rights to use, including faces, voices, or portraits for which you do not hold a valid license or explicit consent. You must not generate content that infringes the intellectual property rights of any third party.
You must not scrape, crawl, or systematically extract data from the Service, reverse-engineer or disassemble any part of the Service, or attempt to bypass any security or access controls. Sharing your subscription access with users outside your Organization is prohibited.
You may not use any Output to train, fine-tune, or improve any artificial intelligence model, system, or similar technology. Any violation of this section is grounds for immediate suspension or termination of your account.
The Service includes AI-powered tools that allow users to recreate, generate, or modify individual creative components. These tools include, but are not limited to, hook recreations, audio regenerations, text variations, subtitle generation, logo removal, and any other AI-powered features made available through the Service from time to time. UAGenius does not guarantee the accuracy, completeness, uniqueness, or fitness of any output produced by these tools. Similar outputs may be generated for other users of the Service.
All final Outputs are assembled variations combining components of the User's choosing. The User is solely responsible for reviewing all AI-processed components and the final Output before deploying in any advertising campaign or commercial use. UAGenius accepts no liability arising from the User's deployment of any component or final Output.
Subject to these Terms and payment of applicable fees, UAGenius grants you a non-exclusive, limited, non-transferable, revocable license to access and use the Service for your Organization's internal business purposes, in accordance with your subscription tier.
UAGenius provides tools to source, recreate, and assemble creative components into final Outputs. Components used in an Output may be user-uploaded assets, AI-recreated elements, or platform-sourced content used as-is. Regardless of how any component was obtained, generated, or modified, the User assumes full responsibility for the final Output. UAGenius does not guarantee the copyright status of any component or Output. It is the User's sole responsibility to determine their right to use each component and the copyright status of the final Output in their jurisdiction.
When you upload User Content to the Service, you grant UAGenius a limited, non-exclusive, revocable, royalty-free license to access, store, and process that User Content solely to the extent necessary to provide the Service. This license terminates upon deletion of the User Content or closure of your account. UAGenius claims no ownership of your User Content.
If you provide UAGenius with feedback, suggestions, or bug reports, you grant UAGenius a perpetual, irrevocable, royalty-free, worldwide license to use such input for any purpose without obligation or compensation to you.
Platform Content made available through the Service includes two types:
You may not use any Output or Platform Content accessed through the Service to train, fine-tune, or improve any artificial intelligence model, system, or similar technology.
You agree to defend, indemnify, and hold harmless UAGenius and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of your use of the Service, your User Content or Outputs, your violation of these Terms, your infringement of any third-party rights, or any activity conducted under your account.
When you connect a third-party advertising account (including Meta Ads and Google Ads) to the Service, you authorize UAGenius to act on your behalf to perform the actions you direct. UAGenius acts solely as an agent executing your instructions.
UAGenius is not liable for the rejection of any creative by Meta, Google, or any other advertising platform, for changes to third-party platform policies or APIs, for downtime or outages of third-party services, or for the suspension or termination of your advertising accounts by any third-party platform.
By connecting your YouTube account and using UAGenius's YouTube-related features, you agree to be bound by YouTube's Terms of Service. Google's Privacy Policy also applies to your use of YouTube through UAGenius.
Each subscription plan includes a maximum number of variations that can be created per month, as stated on the platform at the time of purchase. This limit resets on the first day of each calendar month regardless of your billing cycle and does not roll over. Unused variations are forfeited at the end of each month. Assembled variation creation requires an active subscription.
Each subscription plan includes a maximum number of direct competitors that can be actively tracked through the Service, as stated on the platform at the time of purchase. Active tracking of competitor creatives and content requires an active subscription. Upon subscription lapse or cancellation, active tracking ceases and no new competitor content will be collected, though previously collected content remains accessible. The number of trackable competitors is plan-dependent and cannot be exceeded without upgrading to a higher plan.
Certain AI-powered features on the Service (including hook recreation, audio regeneration, and similar capabilities) consume AI credits. AI credits do not expire and remain available as long as your account is active. Users without an active subscription retain access to AI-powered features in Competitor Research using their existing AI credits but cannot create variations.
Additional AI credits can be purchased separately. Top-Up AI credits are non-refundable, do not expire, and apply only to AI-powered features. They do not affect or increase your variation limit.
Payments are processed via a third-party payment processor. By subscribing, you authorize UAGenius to charge your payment method on a recurring basis. You are responsible for maintaining a valid payment method. Subscriptions automatically renew unless cancelled before the renewal date.
If you choose to upgrade or downgrade your subscription plan, the change takes effect at the start of the next billing cycle.
UAGenius reserves the right to modify subscription pricing at any time. Any price changes will apply at your next renewal date or 30 days after notice, whichever is later.
Stated fees are exclusive of all applicable taxes, levies, duties, and other government-assessed charges. You are responsible for all taxes applicable to your use of the Service in your jurisdiction. UAGenius may invoice you for applicable taxes where it has a legal obligation to do so, and you agree to pay such taxes promptly. You agree to provide documentation of tax payment or exemption status upon request. Indian-registered businesses purchasing Services from UAGenius may be subject to GST under the Reverse Charge Mechanism.
All payments are final and non-refundable, including in cases of cancellation, termination for breach, or unused AI credits. You may cancel your subscription at any time, and your access continues until the end of the current billing cycle. No prorated refunds are provided.
AI credits are non-refundable and do not expire. If your subscription lapses or is cancelled, unused AI credits remain available for use on AI-powered features. Assembled variation creation requires an active subscription.
UAGenius may suspend or terminate your access immediately upon notice for violation of the Acceptable Use policy, non-payment beyond 7 days after the due date, fraudulent or illegal activity, breach of confidentiality obligations, or failure to report a known account compromise.
You may terminate your account at any time by contacting UAGenius at support@uagenius.ai. Termination does not entitle you to a refund. Upon termination, your access to the Service ceases. The following sections survive termination: Licensing and Copyright, Indemnification, Limitation of Liability, Confidentiality, and Governing Law and Disputes.
For the avoidance of doubt, recoverable direct damages are limited to subscription fees paid during periods of UAGenius-caused unavailability, AI credits demonstrably consumed due to a verified platform error, and documented costs of rework directly caused by a verified platform error. Nothing in these Terms limits liability for fraud, willful misconduct, or gross negligence.
"Confidential Information" means any non-public information disclosed by one party to the other in connection with the Service, including pricing, product roadmap, pipeline methodology, brand assets, creative strategy, and ad performance data.
Each party agrees to keep the other party's Confidential Information strictly confidential, not to disclose it to any third party without prior written consent, and to use it solely for the purposes of these Terms. Confidentiality obligations do not apply to information that is or becomes publicly known through no breach of these Terms, was independently developed by the receiving party, or is required to be disclosed by applicable law or court order.
Confidentiality obligations survive termination of these Terms for a period of two (2) years. Upon termination or request, each party shall promptly return or destroy the other party's Confidential Information.
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates.
Where a separately executed MSA exists, the governing law and dispute resolution provisions of the MSA shall control.
Certain features of the Service may be designated as beta or pre-release. Beta Features are provided "as is" without warranty of any kind and may be modified, discontinued, or removed at any time without notice. By using Beta Features, you consent to UAGenius collecting usage data regardless of any general opt-out preferences.
UAGenius may assign or transfer these Terms without your consent. You may not assign or transfer these Terms without UAGenius's prior written consent.
UAGenius shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including natural disasters, war, government action, internet outages, or third-party service failures.
If any provision of these Terms is found invalid or unenforceable, that provision shall be limited to the minimum extent necessary and the remaining provisions shall continue in full force.
All legal notices under these Terms shall be delivered by email to your registered address or to support@uagenius.ai. Email notice is deemed delivered upon transmission.
UAGenius's failure to enforce any provision on any occasion shall not constitute a waiver of its right to enforce that provision in the future.
These Terms, together with any executed MSA and the Privacy Policy, constitute the entire agreement between the parties and supersede all prior agreements and representations. Verbal commitments made outside these Terms are not binding.
UAGenius reserves the right to modify these Terms at any time. Material changes will be communicated by email or platform notice. Continued use of the Service following notice constitutes acceptance of the updated Terms.
Any claim or cause of action arising out of or related to your use of the Service or these Terms must be filed within one (1) year after the event giving rise to the claim. Claims not filed within this period are permanently barred.
UAGenius collects and owns all anonymized and aggregated usage data generated through your use of the Service, including platform analytics, feature usage patterns, and performance metrics. This data does not identify you or your Organization and may be used by UAGenius to improve the Service, develop new features, and for other internal business purposes.
These Terms are written in English. In the event these Terms are translated into any other language, the English version shall be the only legally binding version. In the event of any conflict or inconsistency between the English version and a translated version, the English version shall prevail.
Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and UAGenius. Except as expressly authorized in these Terms, neither party has the authority to bind the other or incur any obligation on the other's behalf.
Your use of the Service is subject to applicable international trade laws, export controls, and sanctions regulations, including those of the United Arab Emirates and any other applicable jurisdiction. By using the Service, you represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to applicable sanctions, and that you are not listed on any sanctions list maintained by the UAE, UN, or other applicable authority. UAGenius reserves the right to terminate access immediately if it determines that continued provision of the Service would violate applicable sanctions or trade laws.
You consent to UAGenius employees and authorized personnel accessing your account as necessary to provide support, perform maintenance, investigate technical issues, conduct quality control, or comply with applicable law. UAGenius will handle any information accessed during such activities in accordance with its Privacy Policy.
